1. Scope of Application
These General Sales Conditions (the « Conditions ») govern the sale of products (the « Products ») by Tethys SAS (« Tethys ») to buyers who purchase Products for business purposes (the « Buyers »). By placing an order for Products with Tethys, the Buyer agrees to be bound by these Conditions.
2. Orders and Acceptance
All orders for Products are subject to acceptance by Tethys. Tethys reserves the right to accept or reject any order in its sole discretion. The Buyer is responsible for ensuring the accuracy of its order and must provide complete and accurate information to Tethys.
3. Price and Payment
The price of the Products will be as agreed between Tethys and the Buyer. Unless otherwise agreed in writing by Tethys, the Buyer must pay for the Products in full at the time of delivery.
4. Delivery and Title
Tethys will deliver the Products to the address specified by the Buyer. The risk of loss or damage to the Products will pass to the Buyer upon delivery. Title to the Products will pass to the Buyer upon payment in full of the purchase price.
5. Warranty and Disclaimer
Tethys warrants that the Products will conform to the specifications agreed between Tethys and the Buyer. Tethys makes no other warranties, express or implied, with respect to the Products, and specifically disclaims any implied warranties of merchantability or fitness for a particular purpose.
6. Limitation of Liability
In no event will Tethys be liable for any indirect, special, incidental, consequential, or punitive damages arising out of or related to the sale of the Products, even if Tethys has been advised of the possibility of such damages. Tethys’s liability to the Buyer for any claim related to the sale of the Products will not exceed the purchase price of the Products.
7. Intellectual Property
The Buyer acknowledges that Tethys owns all intellectual property rights in the Products, and agrees not to reproduce, distribute, or create derivative works based on the Products without Tethys’s prior written consent.
8. Governing Law and Dispute Resolution
These Conditions will be governed by and construed in accordance with the laws of [insert governing law and jurisdiction]. Any dispute arising out of or relating to the sale of the Products will be resolved by arbitration in accordance with the rules of [insert arbitration provider], and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
9. Confidentiality
The Buyer agrees to keep confidential all non-public information provided by Tethys to the Buyer in connection with the sale of the Products, and not to disclose such information to any third party without Tethys’s prior written consent.
10. Entire Agreement
These Conditions constitute the entire agreement between Tethys and the Buyer with respect to the sale of the Products, and supersede all prior or contemporaneous communications and proposals, whether oral or written, between Tethys and the Buyer.
